1. Definitions

• "Latermark" — the educational organisation at 88 Charoen Krung Road, Bang Rak, Bangkok 10500, Thailand.
• "Programme" — any seminar, session, workshop, or subscription offering provided by Latermark.
• "Participant" — any individual who books, registers for, or attends a Programme.
• "Content" — all written materials, templates, articles, recordings, and other resources produced by Latermark.
• "Agreement" — these Terms and Conditions, together with any booking confirmation issued by Latermark.

2. Acceptance of Terms

By submitting an enquiry form, completing a booking, attending a session, or using this website, you confirm that you have read, understood, and agree to be bound by this Agreement.

All Programmes are intended for persons aged 18 and over. By booking, you confirm that you meet this requirement and have the legal capacity to enter into a binding agreement.

3. Service Description

Latermark provides general educational content about retirement and pension frameworks. All Programmes are informational in nature and do not constitute financial, legal, tax, or investment advice. No regulated professional service is provided.

Programmes are delivered in English. Sessions are held in Bangkok or online, as specified in the booking confirmation. Availability varies and is not guaranteed.

Nothing in any Programme, material, or communication from Latermark should be interpreted as a recommendation to take any specific financial action.

4. Participant Access & Accounts

Annual Learning Companion participants are provided access to a private discussion group and content archive via a third-party platform. Access credentials are personal and must not be shared.

Latermark reserves the right to withdraw access if credentials are shared or if a participant's conduct is disruptive to other members of any group environment.

5. Participant Responsibilities

Participants agree to use all Content solely for their own personal, non-commercial learning. The following are prohibited:

• Redistributing or reselling any Content to third parties.
• Recording sessions without the prior written consent of Latermark.
• Using Content in a way that misrepresents its source or implies professional endorsement.
• Disrupting the learning environment for other participants.

6. Intellectual Property

All Content produced by Latermark remains the property of Latermark. Participants are granted a limited, non-exclusive, non-transferable licence to use Content for their own personal learning during the period covered by their booking.

Templates and checklist files are provided in editable formats for personal use. They may not be distributed commercially or presented as original works.

7. Payment Terms

All fees are quoted in Thai Baht (THB) and are exclusive of VAT unless stated otherwise. Payment is required to confirm a booking. A Thai tax invoice is issued upon receipt of payment.

Refunds: Written cancellation received more than 7 days before a session date is eligible for a full refund. Cancellations received within 7 days of the session date are non-refundable, though the booking may be transferred to a future session of the same type, subject to availability.

Annual Learning Companion subscriptions are not refundable once the programme period has commenced. If Latermark cancels a session, a full refund or equivalent rescheduled session will be offered.

8. Programme-Specific Terms

Understanding the System Seminar: Attendance grants access to the session and the take-home summary sheet. No certification is issued. Content is general and does not address any individual's circumstances.

Document Map & Folder Setup: The session and editable templates are provided for organisational purposes only. No financial records are reviewed, retained, or required during the session.

Annual Learning Companion: Access to the archive and discussion group is provided for the 12-month period from the enrolment date. Access lapses at the end of the programme unless renewed. The programme does not auto-renew.

9. Disclaimers

All Content is provided for general informational purposes. Latermark makes no representation that the Content is suitable for any particular individual's circumstances, complete, or current at any given moment.

Nothing in any Programme or communication from Latermark constitutes professional financial, legal, or tax advice. Participants should consult a qualified professional for advice specific to their situation.

10. Limitation of Liability

To the maximum extent permitted by Thai law, Latermark's total liability to any Participant shall not exceed the fees paid by that Participant for the relevant Programme.

Latermark is not liable for indirect, consequential, or incidental losses arising from participation in any Programme or use of any Content. Latermark is not liable for circumstances beyond its reasonable control (force majeure).

11. Indemnification

Participants agree to indemnify and hold Latermark harmless from any claim, loss, or expense arising from their breach of this Agreement or misuse of any Content.

12. Termination

Either party may terminate a booking or subscription by written notice. Refund entitlements on termination are as described in Section 7.

Latermark reserves the right to terminate access to any Programme if a Participant breaches this Agreement. Sections 6, 9, 10, 11, and 13 survive termination.

13. Dispute Resolution & Governing Law

This Agreement is governed by the laws of the Kingdom of Thailand. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of Bangkok.

Thailand's Consumer Protection Act B.E. 2522 and related legislation apply where applicable.

14. General Provisions

• Entire Agreement: This Agreement constitutes the complete agreement between Latermark and the Participant regarding the subject matter herein.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
• Assignment: Participants may not assign their booking rights without written consent from Latermark.
• Notices: Communications should be directed to [email protected].

15. Changes to These Terms

Latermark may update these Terms from time to time. The revised version will be posted on this page with an updated date. Continued use of the website or participation in Programmes after changes are published constitutes acceptance.
